You\u2019ve caught the entrepreneur bug, and you can\u2019t wait to get\u00a0<\/span>started. But getting started…what exactly does that entail? How do you start your business legally sound?<\/em>\u00a0<\/span><\/div>\n

This was my story almost exactly one year ago. During a class with a local\u00a0<\/span>calligrapher, a peer who had just started her business, encouraged me to start my own\u00a0<\/span>business. I was hooked; not only was I able to continue to refine my craft, but I might be\u00a0<\/span>able to try my hand at business ownership along the way. For the rest of the year, I spent\u00a0<\/span>my days the way so many of us do: juggling a full time 9-5 job by day, immersed in\u00a0<\/span>calligraphy at night.<\/span><\/div>\n
My story isn\u2019t unique, except for one detail: my \u201cday job\u201d was working as a full\u00a0<\/span>time litigator for small business own<\/span>ers. More days than I\u2019d care to admit, I showed up in\u00a0<\/span>court with ink-stained hands. Because I was an attorney, I knew exactly what steps to\u00a0<\/span>take to get my business started off on the right foot, legally speaking. And because I\u00a0<\/span>knew my business was legally sound, I was completely confident in growing my\u00a0<\/span>business.<\/span><\/div>\n<\/div>\n<\/div>\n

My friend that I met in that class? Her business took off and was very successful\u00a0<\/span>from the get go. But nearly a year in, she received a letter that any business owner dreads<\/span>– a demand that she change the name of the business that she had worked so hard to build.\u00a0<\/span>Why? Because her brand name too closely resembled that of another (completely\u00a0<\/span>unrelated) company. To be clear, she had done\u00a0<\/span>nothing wrong<\/span>. However, dealing with the\u00a0<\/span>conflict took her focus off of her business, and was an all around draining experience.<\/span><\/div>\n

\u00a0<\/div>\n
Unfortunately, her story isn\u2019t unique.\u00a0<\/span>\u00a0An important aspect of business ownership\u00a0<\/span>is dealing with the unforeseeable, which is why it is so important to make sure it is\u00a0<\/span>legally sound from the start. Protecting your business all comes down to limiting your\u00a0<\/span>liability. And while (spoiler alert!) I\u2019ll always recommend that you meet with an attorney\u00a0<\/span>to get started, make sure you start by following these steps:<\/span><\/div>\n

Set up a formal business model.\u00a0<\/span><\/strong><\/em>First, although you might have started calling\u00a0<\/span>yourself a \u201csolopreneur\u201d when you opened up your Etsy shop or sold to a few family and\u00a0<\/span>friends, the government actually considers you a \u201csole proprietor\u201d. You don\u2019t need to file\u00a0<\/span>any paperwork with the state to\u00a0<\/span>be a sole proprietor, but you also won\u2019t receive any\u00a0<\/span>liability protection.<\/span><\/div>\n
\u00a0<\/div>\n
The driving factors behind deciding on a business formation revolve entirely\u00a0<\/span>around liability and taxes (get started with your local accountant to discuss tax\u00a0<\/span>considerations). Business structures such an LLC are popular for many reasons, mainly\u00a0<\/span>because they separate your personal assets from your business assets. If there isn\u2019t any\u00a0<\/span>separation and you\u2019re sued for anything involving your business, a court could allocate<\/span><\/div>\n
your personal assets to pay damages.<\/span><\/div>\n
\u00a0<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n

For example, say you are a calligrapher and you start selling prints with one of\u00a0<\/span>your favorite artist\u2019s song lyrics. The print is a hit, and it becomes the best seller in your\u00a0<\/span>shop. One day, you receive a cease and desist lette<\/span>r from the recording artist\u2019s attorney,\u00a0<\/span>demanding that you stop selling the print and pay a fine for infringing upon the artist\u2019s\u00a0<\/span>intellectual property rights. If you wind up in litigation over the dispute and you are\u00a0<\/span>operating as a sole proprietor, your car or your house could be used to help pay damages.\u00a0<\/span>If, on the other hand, you have an LLC and your business is separate from your personal\u00a0<\/span>assets,\u00a0\u00a0meaning the court can only pull from business bank accounts to pay for legal\u00a0<\/span>damages. The key is that you need to have the LLC formed\u00a0<\/span>before<\/span>\u00a0the dispute arises. If\u00a0<\/span>you wait until you\u2019re sued, you\u2019ll miss out on the protection an LLC offers.<\/span><\/div>\n

After hearing this example, most clients tell me that they have a DBA and liability\u00a0<\/span>insurance, so they don\u2019t need to file an LLC. Wouldn\u2019t this provide the same protection?\u00a0<\/span>It\u2019s a great question, and there is a straightforward answer: your insurance is nothing\u00a0<\/span>more than a contract between you and the insurance company. It won\u2019t protect you from\u00a0<\/span>every random claim, and it l<\/span>ikely won\u2019t protect you from anything you did on purpose. In\u00a0<\/span>the example above, it wouldn\u2019t offer any protection. Once you plan on providing\u00a0<\/span>products or services for clients, it\u2019s time to form an LLC.<\/span><\/div>\n

Set yourself up for growth with the right contracts.\u00a0<\/span><\/strong><\/em>The goal of every business is growth,\u00a0<\/span>but if you aren\u2019t protected with the right contracts, your business will stay stagnant and\u00a0<\/span>vulnerable. Aside from protecting your business with every client interaction, the right\u00a0<\/span>contracts<\/a> allow you to position your business to expand.<\/span><\/div>\n

Protect yourself for the future.<\/em><\/strong>\u00a0<\/span>The protection you set in place in the beginning of your\u00a0<\/span>business will carry through into the future.
